Updated Technology Transfer Guidelines bring greater transparency and clarity to SEP licensing markets

The European Commission’s updated Guidelines on Technology Transfer represent a step forward in enhancing transparency and clarity within patent licensing markets, specifically regarding patent pools and licensing negotiation groups.

The revised guidelines introduce critical safeguards for patent pools. Most notably, they explicitly prohibit “double-dipping,” ensuring that pools cannot effectively charge licensees multiple times for the same licensed patent. Furthermore, the guidelines reaffirm that pooled rights must be offered on Fair, Reasonable, and Non-Discriminatory (FRAND) terms.

Additionally, the Commission mandates that pools must effectively disclose two key elements to both potential and existing licensees, (i) the specific individual rights included in the pool, and (ii) the methodology used by the pool to assess the essentiality of those rights.

The Commission has also provided clear guidance to facilitate the creation of licensing negotiation groups. This mechanism allows groups of licensees to pool their resources to negotiate licensing deals on FRAND terms with one or more patent holders. The primary objective of these undertakings is to reduce transaction costs for all parties involved and to achieve a more equitable balance in negotiations between licensors and licensees.

Although not a panacea for all market frictions, these guidelines will be helpful in seeking to address some of the longstanding and pervasive abusive licensing behaviors, fostering a healthier ecosystem for innovation and technology transfer.
